Terms of Use

Effective date: July 20, 2026. Avidity is currently in beta and operated by an individual owner. This document will be reviewed by counsel and updated as the product and its operating entity mature — a few figures (such as the liability cap) are placeholders pending that review.
1. Welcome, and what these Terms cover
These Terms of Use are a binding agreement between you (the user) and the Avidity application, based in Israel. Avidity is currently run by an individual owner rather than a registered company; if this changes, this section will be updated with the operating entity's details.
They govern your access to and use of the Avidity mobile application, the website at avidity.md, and all related features, content, and services.
"The Coach" — our AI-powered companion feature — is part of the Service and is also covered by these Terms.
Please read these Terms together with our Privacy Policy, which explains how we handle your information. By downloading, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and the Privacy Policy. If you do not agree, please do not use the Service.
2. Who may use Avidity
To use the Service, you must:
- Be at least 18 years old, or the age of legal majority in your jurisdiction if higher. The Service is not directed to children, and we do not knowingly allow anyone under 18 to create an account. If you are between 16 and 18, you may only use the Service with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf.
- Be legally able to enter into a binding contract with us.
- Not be barred from using the Service under the laws of Israel or any other applicable jurisdiction.
If you use the Service on behalf of another person or an organisation, you confirm that you are authorised to accept these Terms for them.
3. Your account
To use most features you will need to create an account. When you do, you agree to:
- Provide accurate, current, and complete information, and keep it up to date.
- Keep your login credentials confidential and not share your account with others.
- Avoid any NSFW material on your profile.
- Be responsible for all activity that happens under your account.
- Notify us promptly at support@avidity.md if you suspect any unauthorised use of your account or any security breach.
We may suspend or close accounts that contain false information, that are used by someone other than the registered user, or that are used in breach of these Terms.
4. Your licence to use the Service
Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable licence to download and use the Service on a device you own or control, for your own personal, non-commercial use.
This licence does not transfer any ownership to you. All rights not expressly granted are reserved by us and our licensors.
5. What you may not do
You agree not to, and not to help or permit anyone else to:
- Use the Service for any unlawful, fraudulent, or harmful purpose.
- Copy, modify, distribute, sell, lease, or create derivative works from any part of the Service.
- Reverse-engineer, decompile, disassemble, or attempt to extract the source code of the Service, except to the limited extent that applicable law expressly permits.
- Access the Service through automated means (bots, scrapers, etc.) except as we expressly allow.
- Interfere with, disrupt, overload, or attempt to gain unauthorised access to the Service, our servers, or our networks.
- Introduce viruses, malware, or any other malicious or harmful code.
- Remove, obscure, or alter any proprietary notices.
- Use the Service to build or train a competing product or a machine-learning model.
- Attempt to circumvent any security or usage limits, or misuse The Coach (for example, by trying to manipulate it into producing harmful content or to expose other users' information).
We may investigate and take appropriate action — including removing content, suspending or terminating your account, and reporting to authorities — against anyone who breaches this section.
6. The Coach and AI-generated content
The Coach is an automated, AI-driven feature designed to offer encouragement, reminders, reflections, and accountability-style support based on the information you provide and your activity in the app. You acknowledge and agree that:
- The Coach is not a human.It is software. Any conversational or "best friend" style is a product feature and does not create a personal, professional, or fiduciary relationship of any kind.
- The Coach can be wrong. AI-generated content may be inaccurate, incomplete, or unsuitable for your situation. You are responsible for evaluating it and deciding whether and how to act on it.
- The Coach is not professional advice (see Section 7). It does not provide medical, mental-health, psychological, nutritional, legal, accounting, tax, investment, or other professional advice, and it is not a substitute for a qualified professional.
- You control what you share. Please do not rely on The Coach in situations where an error could lead to harm, and do not share information with it that you are not comfortable being processed as described in our Privacy Policy.
To the extent you have any rights in the inputs you provide, you grant us the rights described in Section 9 so that we can operate the Service. As between you and us, and subject to third-party rights, you may use the outputs The Coach generates for you for your own personal purposes.
7. Important disclaimers about wellness and finances
Avidity is a personal-organisation and self-improvement tool. It is not a healthcare provider, a mental-health service, a bank, a financial institution, a payment service, an investment adviser, or a professional adviser of any kind.
Wellness, mood, energy, and habits. Features that let you log mood, energy, habits, or similar information are provided for personal tracking and reflection only. They are not intended to diagnose, treat, cure, prevent, or monitor any medical or psychological condition, and nothing in the Service is medical or mental-health advice. Always seek the advice of a qualified health professional with any questions about your physical or mental health. Never disregard or delay professional advice because of something in the Service.
If you are in crisis. Avidity and The Coach cannot help in an emergency. If you are experiencing a medical or mental-health emergency, or thoughts of harming yourself or others, contact your local emergency services immediately.
Money, savings, and the finance module. Features relating to savings goals, budgeting, spending, or other financial information are provided for personal money-management and informational purposes only. They do not constitute financial, investment, tax, or accounting advice, and are not a recommendation to take or refrain from any financial action. Figures, projections, and summaries may be estimates and may contain errors. You are solely responsible for your financial decisions, and you should consult a licensed professional before making them.
No guaranteed results. We make no promise that using the Service will produce any particular outcome for your goals, habits, wellbeing, or finances.
8. Purchases, subscriptions, and free trials
Some features may require a paid subscription or one-time purchase ("Paid Features"). Where you buy Paid Features through the Apple App Store or Google Play, the purchase is processed by Apple or Google under their terms, and:
- Prices, billing periods, and what is included will be shown to you before you buy.
- Subscriptions renew automatically for the same period unless you cancel at least 24 hours before the end of the current period. You manage and cancel subscriptions in your Apple or Google account settings, not through us.
- Free trials (if offered) convert to a paid subscription unless cancelled before the trial ends.
- Refunds are handled under the policies of the applicable app store and applicable consumer-protection law. Except where the law requires otherwise, payments are non-refundable.
We may change our prices and plans. Changes will not affect the period you have already paid for and will apply from your next renewal, with notice where required by law. As of right now, the whole app is free to use.
9. Your content and the data you provide
"User Content" means the information you enter into or generate through the Service — for example tasks, habits, notes, mood and energy entries, goals, and financial figures.
You keep all rights you have in your User Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, display, and adapt your User Content solely to operate, provide, secure, and improve the Service for you (including having The Coach generate responses for you), and as otherwise described in our Privacy Policy. This licence ends when you delete the relevant content or your account, except for copies we are permitted or required to keep as explained in the Privacy Policy.
You are responsible for your User Content and confirm that you have the right to provide it and that it does not infringe anyone's rights or break any law.
10. Our intellectual property
The Service, including its software, design, text, graphics, logos, the "Avidity" and "The Coach" names and branding, and all related intellectual property, is owned by us or our licensors and is protected by law. Except for the licence in Section 4, these Terms do not give you any right to use our intellectual property, including our name, logos, or branding, without our prior written permission.
If you send us feedback or suggestions, you agree we may use them freely, without any obligation to you.
11. Third-party services and links
The Service may rely on or link to third-party services, tools, or content that we do not control (for example, app stores, cloud hosting, AI infrastructure providers, and analytics). We are not responsible for third-party services, and your use of them may be subject to their own terms and privacy policies. We encourage you to review them.
12. Availability and changes to the Service
We work to keep the Service running well, but we do not guarantee it will always be available, uninterrupted, timely, secure, or error-free. We may add, change, suspend, or remove features, and we may set or change limits on use, at any time. Where a change materially reduces the Service and the law requires it, we will give you appropriate notice.
13. Disclaimer of warranties
To the fullest extent permitted by law, the Service and all content, including The Coach and its outputs, are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory — including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
We do not warrant that the Service will meet your requirements, that results or outputs will be accurate or reliable, or that defects will be corrected. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you, and you may have rights that these Terms cannot limit.
14. Limitation of liability
To the fullest extent permitted by law:
- We (and our directors, employees, and suppliers) will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of, or inability to use, the Service — including any reliance on The Coach or on wellness or financial information in the Service.
- Our total liability to you for all claims relating to the Service will not exceed the greater of (a) the total amount you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) USD 100 (or its equivalent in ILS).
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law — for example, liability for death or personal injury caused by negligence, for fraud, or for certain consumer rights.
15. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless Avidity and its owner, together with anyone who helps operate the Service on our behalf, from any claims, damages, losses, liabilities, and reasonable expenses (including legal fees) arising out of your misuse of the Service, your breach of these Terms, your User Content, or your violation of any law or third-party right.
16. Suspension, termination, and account deletion
You may stop using the Service at any time. You can delete your account by contacting us at support@avidity.md. Deleting your account deletes your associated personal data as described in our Privacy Policy, subject to any data we are permitted or required to retain.
We may suspend or terminate your access if you breach these Terms, if we are required to by law, or if we reasonably need to protect the Service or other users. Sections that by their nature should survive termination (including Sections 7, 9–11, and 13–18) will continue to apply.
17. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you — for example, by an in-app notice, by email, or by updating the "Last updated" date above. Changes take effect when posted, unless a later date is stated or the law requires otherwise. By continuing to use the Service after changes take effect, you accept the updated Terms. If you do not agree, please stop using the Service and delete your account.
18. Governing law and disputes
These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. The competent courts of Tel Aviv–Jaffa, Israel, will have exclusive jurisdiction, and you and we consent to that jurisdiction and venue. Nothing here removes any mandatory protection or right to bring proceedings that applicable consumer-protection law gives you in your place of residence.
19. Apple and Google app store terms
If you download Avidity from the Apple App Store: these Terms are between you and us only, not Apple. Apple is not responsible for the Service or its content and has no obligation to provide support or handle any claims relating to it. Apple is a third-party beneficiary of these Terms and may enforce them against you. You confirm you are not located in a country subject to a U.S. Government embargo or listed as a prohibited or restricted party, and you will comply with all applicable third-party terms when using the app.
If you download Avidity from Google Play: your use is also subject to the Google Play Terms of Service, and to the extent of any conflict about how you obtained the app, those store terms apply to that subject.
20. General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service and replace any earlier agreements on the subject.
- Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
- No waiver. If we do not enforce a right, that is not a waiver of it.
- Assignment. You may not assign these Terms without our consent. We may assign them, for example as part of a merger, acquisition, or sale of assets.
- No third-party rights except as expressly stated (for example, Apple in Section 19).
